End User License Agreement (EULA)

This End User License Agreement ("Agreement") is between you and Michael Chabler ("Company," "we," "us," or "our") and governs your use of the StockWotch software and related services.
1. License Grant
Subject to your compliance with this Agreement, StockWotch grants you a limited, non-exclusive, non-transferable, revocable license to install, access, and use the software for your internal business operations.
2. License Restrictions
You may not:
- Copy, modify, or create derivative works except as expressly permitted.
- Reverse engineer, decompile, disassemble, or attempt to discover source code, except where applicable law expressly permits.
- Remove proprietary notices, trademarks, or labels from the software.
- Sublicense, rent, lease, distribute, or transfer the software to third parties.
3. Ownership
The software is licensed, not sold. StockWotch and its licensors retain all right, title, and interest in and to the software, including all related intellectual property rights.
4. Updates and Changes
StockWotch may provide updates, patches, and new features at its discretion. Some updates may be required for security, compatibility, or continued operation.
5. Third-Party Components
The software may include third-party open-source or commercial components licensed under their own terms. Those terms apply to the respective components.
6. Data and Service Dependencies
Use of cloud-connected features may require internet connectivity and third-party service infrastructure. Service availability can vary and is not guaranteed.
7. Term and Termination
This Agreement remains in effect until terminated. It terminates automatically if you breach its terms. Upon termination, you must stop use of the software.
8. Disclaimer of Warranties
To the fullest extent permitted by law, the software is provided "as is" and "as available," without warranties of any kind, express or implied.
9. Limitation of Liability
To the maximum extent permitted by law, StockWotch will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill arising from use of the software.
10. Export and Compliance
You agree to comply with all applicable export control, sanctions, and trade laws.
11. Governing Law
This Agreement is governed by the laws of New York, USA, without regard to conflict-of-law rules. You consent to exclusive jurisdiction and venue in New York, NY, unless applicable consumer law requires otherwise.
